Barnabus Energy, Inc. (BBSE) is a holding
company that has acquired and plans to continue acquiring
renewable energy producing technologies that are currently
commercially viable or that show great promise to meet major market energy needs in the future. At present, the company is focused primarily on solar energy technologies but one of those can also be applied to water desalination projects and management has high hopes that technology can generate significant revenues in the not too distant future as the world faces one of its most serious environmental problems, namely securing sufficient supplies of potable drinking water. Companies acquired must have a seasoned management team with technologies that
can offer high efficiency, scalable projects with a clear prospect to profitability. What Barnabus Management brings into the equation is an
expertise in finance, the public markets access to industry support and where applicable, government funding.
There are three solar technology companies acquired by Barnabus to date. Following is a brief description of the three:

SOLARSAVE™ PHOTOVOLTAIC MODULES -The proprietary manufacturing process used in the production of SolarSave™
incorporates high-efficiency, monocrystalline cells with a single ply roofing membrane. SolarSave™ modules measure 4'x8' and are heat welded together during the application process, based on the design requirements of the customers roof top. The result is a roof that becomes one piece from edge to edge.

CONNECT ENERGY - BIPV MODULES - Connect Energy uses its proprietary, UL Listed, products and technology to build state of the art renewable energy systems. The company's building block approach allows it to provide systems from 2.5Kw to 1000Kw. Connect offers a full line of Architecural PV, Grid-Tied Inverters and integrated power solutions.
The company expects to generate sales from these two solar roofing products this year. The advantage of both of these products is that unlike their competitors, they do not require external faraming or penetration of the roof surface to install. They are fully integrated, weatherproof, fire rated, UL approved roofing products with 25 year warranties. SOLARSAVE™ materials are best suited for commercialand industrial flat roof applications, while Connect Energy Tiles ™ are better suited for residential hom construction.

Mangement believes the two of these companies will bring good synergies to the company as they will bring both east and west coastmanufacturing and marketing to Barnabus. And both companies use photovoltaic cells produced by Sunpower Corporation, a fact that
should give Barnabus purchasing power leverage it would not have if it held only one of these companies.

SUNCONE SOLAR ENERGY THERMAL CONCENTRATION SYSTEM -A new system called “Suncone” provides an inexpensive
method of producing high-temperature solar energy collection using plastic films. It is similar to another Solar thermal technology known
as the parabolic dish in that it must be pointed toward the sun. However, it requires less precision than competing solar energy thermal
technologies. Management believes this patented technology which was developed by Dr. Melvin Prueitt, a well known research physicist
from the Los Alamos National Laboratory has the potential to operate at much higher efficiencies.

Management states on its web site that it expects the first working prototype of SunCone to be available during the second quarter of 2006.
It is believed that a single SunCone array coupled with battery storage could power a remote village or island resort. A second array could
produce potable water from the sea.
This product is more futuristic than the two Solar Photovoltaic roof products noted above, but if it turns out to be commercially viable, it
could be absolutely enormous for obvious reasons. Not only might it generate significant amounts of low cost electricity but if it can be
applied to water desalination, it could help bring potable drinking water to many of the more than 1 billion people who, according to the
U.N. do not currently enjoy that most basic life necessity.

How close might Suncone be to being a viable commercial product? From experience I know these new technologies always take much longer than the optimistic anticipations of management. But on December 28th, management put out a press release that said Dr. Prueitt expected to have the working prototype ready by January 31st or well ahead of the 2nd quarter noted above. In that same press release, management reported the following which provides insight into this technology: “The Suncone frame is complete, the sun tracker assembled and tested, and the control software programmed. The glass target rods are
fabricated and ready for installation. When assembled, water will flow through the rods where it is heated to several hundred degrees Celsius, then is pumped to an external turbine for electrical power generation. Upon completion of the first Suncone, the Company plans to
further test and optimize a variety of design options focused on advancing the rapid development of a commercially viable product. “Barnabus has also begun development work on a flash distillation system that could utilize the excess steam from the system and turn it
directly into potable water. This system would eliminate the need for expensive, maintenance intensive reverse osmosis filters, making it a more competitive water purification technology that could be installed world-wide. “Dr. Prueitt said, “We are very pleased with the level of commitment by HYTEC, and our other vendors. They did beautiful machining
work on the Suncone components. The Company expects to have a commercial demonstration project up and running no later than June of 2006. Once commercialized, the potential global market applications of Suncone are spectacular.

Revenues & Profits in 2006

Futuristic promises are exciting but we know from experience how tough it is to stick with a tech company that is always living in the future.
What we want to see is for these “dream” companies to produce revenues and cash flow in order to fund ongoing overhead and research and development costs without needing to perpetually go to the market to raise capital and dilute shareholder interest.

This year, management expects to generate sales from the two different solar roofing products mentioned above. The advantage both of these products have over competing solar roofing products is that neither of these technologies require external framing or penetration of the roof surface to install. They are fully integrated, weatherproof, fire rated, UL approved products with 25 year
warranties.

On January 12th, the company announced a $2.5 million contract to supply Stellar Energy Solutions with 1,000 SolarSaveTM SP – 480 modules representing a combined total of 500,000 watts of generated electrical power. This is a light weight, waterproof, panel that
incorporates photovoltaic cells within a single ply roofing membrane. This product can be shipped to to building sites in 4 by 8 sheets and applied directly to the existing surface of commercial buildings.

The company’s President & CEO is David Saltman who most recently served as a senior executive of BioComposites International, a company producing natural fiber reinforced plastics for the automobile, building materials and consumer products industries. He is an energetic, compelling and highly knowledgeable proponent for innovative renewable energy solutions. He has participated in the President's advisory council that
created environmental purchasing guidelines for the federal government, and is the recipient of several awards from the American Marketing Association for his work on sustainable technologies. Prior to his efforts in this sector, Mr. Saltman enjoyed a successful career
in the entertainment industry, including being a founder of the " E!" Entertainment Network. He is a native Californian residing just outside
of San Diego and is a graduate of UCLA's Film School.

SUMMARY & CONCLUSION – As the price of oil and gas rise so too do electricity rates rise. Use of natural power sources of which solar energy is one, can provide a meaningful reduction in reliance on existing power grid and save significant money for end users. Not
mentioned above was legislation passed in California that reduces capital costs required to install solar energy generating electricity equipment. Mangement reports that demand has been strong for its two rooftop products. We think the company could possibly eek out a
profit in 2006 and then generate much larger revenues and profits in the years to come especially if the SunCone technology delivers the promise it seems to offer. We want subscribers to be fully aware this stock carries considerable risk. But for speculative investors, we think
it is a risk well worth taking for allocations up to 5% of your portfolio
